Rent Agreement vs Lease Agreement vs Lease Deed
Quick answer: Legally, all three are leases under Section 105 of the Transfer of Property Act, 1882. "Rent agreement" is the everyday name for a short residential lease, usually 11 months and unregistered. A "lease agreement" or "lease deed" usually means a longer lease, often over a year and often commercial, which must be registered and attracts higher stamp duty. Choose by term and use: under a year for a flat, a rent agreement; longer or commercial, a registered lease deed.

People use these three terms as if they were interchangeable, and in a casual conversation they are. On paper they aren't. The name you put at the top of the document matters less than the term, the stamp and whether it's registered, but each label signals a different kind of arrangement to a Sub-Registrar, a bank or a court.

Choose quickly

  • Renting a flat or house for up to 11 months? A rent agreement on correctly valued stamp paper.

  • Renting for 1 to 5 years, or want a long lock-in? A registered lease agreement.

  • Commercial premises, land or a long-term arrangement of many years? A lease deed, registered, drafted by an advocate.

  • Renting in Maharashtra? A registered leave and licence agreement is the norm.

What the law actually says

Section 105 of the Transfer of Property Act defines a lease as a transfer of a right to enjoy immovable property for a certain time, express or implied, or in perpetuity, in exchange for a price paid or promised (rent). Nothing in the Act distinguishes a "rent agreement" from a "lease".

The real legal lines come from two other statutes:

  • Registration Act, 1908, Section 17(1)(d): leases from year to year, for any term exceeding one year, or reserving a yearly rent must be registered.

  • Section 107 of the Transfer of Property Act: such leases can be made only by a registered instrument. Other leases can be made by a registered instrument or by oral agreement with delivery of possession.

So the practical divide is "up to one year" versus "more than one year". The labels have grown up around that divide.

Rent agreement: the short residential lease

The rent agreement is built for flexibility. An 11-month term avoids compulsory registration and keeps stamp duty low in most states. At the end, both sides either renew on fresh terms or part ways. It suits the way most people rent homes in Indian cities: a job move, a growing family, a better flat two streets away.

What it isn't good at: long-term security. A tenant who wants to stay three years at a fixed escalation has no binding promise beyond 11 months. And because it's unregistered, it doesn't work as address proof for a passport. Our guide to rent agreement rules covers the clauses that matter.

Lease agreement: when you need longer certainty

A lease agreement for two or three years gives both sides certainty: the tenant gets a fixed tenure and escalation, the landlord gets a lock-in. The price is registration with the Sub-Registrar and stamp duty as a percentage of average annual rent. Skip registration and Section 49 of the Registration Act stops you from relying on the document as evidence of the lease.

There's another meaning of "lease agreement" worth knowing. In commercial deals, it sometimes refers to an agreement to lease, a preliminary contract promising to execute a lease deed later (for instance, once a building is completed). An agreement to lease that gives immediate possession may itself be treated as a lease and need registration. Contact Us!

Lease deed: long-term and commercial

A lease deed is a full conveyancing document. Shops, offices, warehouses, factory land and long-term residential leases use it. It typically covers:

  • detailed description with boundaries and area,

  • rent, escalation schedule and security deposit,

  • lock-in, renewal options and exit rights,

  • permitted use, fit-outs and alterations,

  • maintenance, insurance and taxes,

  • assignment and sub-letting rights,

  • dispute resolution, often arbitration.

Stamp duty climbs with the term. Many states charge long leases (20 years or more, or perpetual) at rates approaching those for a sale. Delhi, for example, charges a higher rate for 10 to 20 year leases than for shorter ones. Check your state's schedule and our stamp paper guide before agreeing a term.

For a commercial lease or anything beyond a few years, have it drafted rather than downloaded. Law At Ease advocates handle document drafting for leases, MOUs and related agreements.

One flat, three documents: a worked example

Take a 2BHK in Gurugram let at ₹35,000 a month with a ₹70,000 deposit, and look at how the choice of document changes the paperwork.

Option 1: an 11-month rent agreement. Stamp duty is a fixed low value under Haryana's schedule for short terms. No registration. Both parties sign with two witnesses or Aadhaar eSign, and the tenant moves in the same week. At month 11, they renegotiate. Total paperwork cost: the stamp plus drafting. Weakness: no promise beyond 11 months, and no passport-grade address proof.

Option 2: a three-year registered lease agreement. Rent is fixed at ₹35,000 with 5% escalation each year, and both sides commit to an 18-month lock-in. Stamp duty is now calculated on the average annual rent across three years, so it's significantly higher. Both parties (or a power-of-attorney holder) must appear before the Sub-Registrar for biometrics. Strength: the tenant's tenure and the landlord's lock-in are both enforceable, and the tenant has address proof for a passport or Aadhaar update.

Option 3: a lease deed for the same flat. Overkill for a family home, unless the tenant is a company taking the flat as staff accommodation for five years and wants clauses on fit-outs, assignment to group companies and early exit. Then a detailed lease deed, drafted by an advocate and registered, is the right tool.

The flat is identical. The relationship isn't, and the document should match the relationship. If you're unsure which way to go, start from two questions: how long does each side genuinely want to commit, and will anyone (a passport office, a bank, a tax officer) need to rely on the document later? The answers almost always pick the document for you.

Which document do offices and banks accept?

The type of document matters most when you need it for something other than the tenancy itself.

  • Passport, Aadhaar and voter ID updates need a registered agreement. A short unregistered rent agreement won't do, however carefully it's drafted. See rent agreement as address proof.

  • GST and company registration accept a rent or lease agreement for the principal place of business or registered office, usually with the owner's ownership proof and an NOC.

  • Bank loans against rental income (lease rental discounting) need a registered lease deed with a creditworthy tenant and a long lock-in. Banks won't lend against an 11-month rent agreement.

  • Employers and HRA claims usually accept any properly stamped agreement with rent receipts.

If you know one of these is coming, choose the document for that purpose from the start rather than re-executing it later.

Does the label change your rights?

Not much. Courts look at what the document does, not what it's called. A "rent agreement" for three years is a lease needing registration. A "leave and licence" that gives exclusive possession with all the marks of a tenancy may be treated as a lease. Get the substance right (term, stamp, registration) and the label follows.

For agreements over one year, our registered rent agreement guide walks through the registration steps. For a standard residential tenancy, you can create an online rent agreement in minutes.

Marked up with FAQPage schema so answers can appear directly in search results.

What is the difference between a rent agreement and a lease agreement?

Legally both are leases. In practice, a rent agreement is a short residential lease of up to 11 months, while a lease agreement usually runs longer than a year and must be registered.

Is a rent agreement the same as a lease deed?

No. A lease deed is a detailed, registered document for long-term or commercial leases. A rent agreement is a simpler document for short residential tenancies.

Which is better for tenants, a lease or a rent agreement?

A registered lease gives more security over a longer term. A rent agreement gives flexibility to move on after 11 months. Choose based on how long you plan to stay.

Does a lease agreement need to be registered?

Yes, if its term exceeds one year, it runs from year to year, or it reserves a yearly rent, under Section 17 of the Registration Act and Section 107 of the Transfer of Property Act.

What is the maximum term of a rent agreement?

There's no legal maximum. The 11-month term is a convention to avoid registration. Longer terms are allowed if stamped and registered.

Is stamp duty higher on a lease deed?

Usually, yes. Duty rises with the term and, for very long or perpetual leases, can approach the rate for a sale in many states.

What is an agreement to lease?

A preliminary contract promising to execute a lease later. If it hands over possession immediately, it may itself be treated as a lease and need registration.

Is leave and licence the same as a lease?

No. A licence grants only permission to occupy and creates no interest in the property, while a lease transfers a right to enjoy the property.

Can a rent agreement be converted into a lease deed?

You can replace it with a registered lease deed at any time by executing a new document and paying the applicable stamp duty and registration fee.

Which document should I use for a shop or office?

A registered lease deed, drafted with commercial clauses on fit-outs, escalation, lock-in and exit, is the safer choice for commercial premises.
